Terms of Use — JiveDB

1.Acceptance of these terms

By downloading, installing, or using JiveDB, you agree to these Terms of Use.

These Terms of Use ("Terms") form a legal agreement between you ("you" or "your") and JiveDB ("JiveDB", "we", "us", or "our") governing your use of the JiveDB desktop application (the "App") and the website at jivedb.com (the "Site"). If you do not agree to these Terms, do not download, install, or use JiveDB. Your use of JiveDB is also subject to the Privacy Policy.

2.Eligibility

You must be at least the age of majority in your jurisdiction, and able to form a binding contract, to use JiveDB. If you use JiveDB on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf, and "you" includes that organization.

3.License to use JiveDB

Subject to these Terms and any applicable End-User License Agreement (EULA) distributed with the App, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the App for your lawful purposes.

Except as permitted by applicable law or the App's license, you may not:

resell, rent, sublicense, or redistribute the App as your own product;
reverse engineer, decompile, or disassemble the App, except to the extent this restriction is prohibited by law;
remove or alter any proprietary notices, branding, or labels; or
use the App to build a competing product by copying its design or code.

If a separate EULA or license file accompanies the App, that license governs the software itself; these Terms govern your broader use of JiveDB and the Site. In case of conflict regarding the software license, the EULA controls.

4.Updates

The App may check for and notify you about new versions. You are responsible for installing updates. We may change, suspend, or discontinue any feature of JiveDB at any time. We are not obligated to provide updates, support, or maintenance unless separately agreed in writing.

5.Acceptable use

You agree to use JiveDB only for lawful purposes and only with data and systems you are authorized to access. You must not:

access databases, networks, or accounts without authorization;
violate any applicable law or regulation, or any third party's rights;
use JiveDB to store, process, or transmit unlawful content;
introduce malware, or attempt to disrupt or compromise the App, the Site, or others' systems; or
circumvent security or access controls of any system you connect to.

You are solely responsible for the configurations you create and the actions you perform with JiveDB, including any queries that modify or delete data.

6.Your data & connections

JiveDB is a local-first tool. Your databases, credentials, and queries remain under your control on your device and your servers. You are responsible for:

maintaining backups of your data before performing destructive operations;
safeguarding your device, credentials, certificates, and API keys; and
complying with any policies or contracts governing the data and systems you connect to.

We do not control, and are not responsible for, the databases and servers you connect to or the data you process with JiveDB.

7.Third-party services

JiveDB can integrate with third-party services that you configure — for example, AI providers used by the optional AI assistant, or your own database and SSH hosts. Your use of those services is governed by their own terms and privacy policies. When you use an AI feature, the relevant context is sent directly from your device to the provider you selected. We are not responsible for third-party services, their availability, or how they handle your data.

8.Intellectual property

JiveDB, including the App, the Site, and the JiveDB name, logo, and other brand elements, is owned by JiveDB and protected by intellectual-property laws. Except for the limited license granted in these Terms, no rights are transferred to you. You may not use our trademarks or branding without our prior written permission.

9.Open-source components

The App includes third-party open-source software, each provided under its own license. Those licenses are acknowledged within the App (for example, in the About dialog's third-party licenses viewer). Nothing in these Terms limits your rights under those open-source licenses with respect to the corresponding components.

10.Disclaimer of warranties

JiveDB is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that JiveDB will be uninterrupted, error-free, or secure, or that it will meet your requirements. You use JiveDB at your own risk. Database operations can modify or delete data permanently; you are responsible for verifying queries and maintaining backups.

11.Limitation of liability

To the maximum extent permitted by law, JiveDB and its contributors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, business, or goodwill, arising out of or related to your use of, or inability to use, JiveDB.

To the maximum extent permitted by law, our total aggregate liability for all claims relating to JiveDB will not exceed the greater of the amount you paid us for the App in the twelve months before the claim, or USD 50. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12.Indemnification

You agree to indemnify and hold harmless JiveDB and its contributors from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of JiveDB, your data and systems, or your violation of these Terms or applicable law.

13.Termination

These Terms apply while you use JiveDB. Your license terminates automatically if you breach these Terms. Upon termination, you must stop using the App and may delete it. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

14.Governing law

These Terms are governed by the laws of the jurisdiction in which JiveDB operates, without regard to conflict-of-laws principles. The courts of that jurisdiction will have exclusive jurisdiction over disputes arising from these Terms, except where mandatory local consumer-protection law provides otherwise.

Replace this section with your specific governing law and venue (for example, a country/state and competent courts) before publishing.

15.Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and may provide additional notice for material changes. Your continued use of JiveDB after changes take effect constitutes acceptance of the revised Terms.
